Terms of Service

Your account

You need an account to use most of Team Clarity. You are responsible for keeping your password safe and for everything that happens under your account. Let us know right away at support@teamclarity.io if you think someone else has gained access to your account.

You must be at least 13 years old to use Team Clarity, and you must give us accurate information when you sign up.

Plans, trials, and billing

Team Clarity offers free and paid plans. Paid plans include a 14 day free trial. If you do not cancel before the trial ends, your paid subscription will begin and your card will be charged.

Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel anytime from your account settings. When you cancel, your plan stays active until the end of the period you already paid for, and it will not renew after that.

Prices, taxes, and fees are shown at checkout. We may change prices with reasonable advance notice, and changes will apply at your next renewal.

Refunds

If you are not happy with Team Clarity, you can request a full refund within 30 days of your first paid charge by emailing support@teamclarity.io. After 30 days, payments are final and we do not offer refunds or credits for partial billing periods, unused time, or downgrades.

Your data is yours

You own the content you put into Team Clarity. We do not claim any ownership over your data, and we will not sell it or share it with advertisers. We only use it to provide the service to you, as described in our Privacy Policy.

To run the service, you give us a limited permission to host, store, back up, and display your content for you and the people you invite to your workspace. This permission ends when you delete your content or your account, except where we need to keep records for legal reasons.

Acceptable use

When you use Team Clarity, you agree not to:

• Break any law or use the service for anything illegal
• Upload malware, viruses, or anything harmful
• Try to break, overload, or reverse engineer the service
• Scrape, crawl, or harvest data from the service without permission
• Resell, rent, or sublicense the service
• Impersonate anyone or misrepresent your affiliation with a person or organization
• Harass, threaten, or abuse anyone through the service
• Infringe anyone else’s intellectual property or privacy rights

Our stuff

The Team Clarity website, app, logo, and everything we create to run the service belong to TClarity LLC. We grant you a limited, personal, nontransferable license to use the service while your account is in good standing. You do not get any other rights in our brand or software.

Suspension and termination

You can close your account at any time. We can suspend or terminate your account immediately, at any time, if we believe you have broken these terms, put the service or other users at risk, or failed to pay. If we terminate your account, we will try to give you a reasonable chance to export your data, but we are not required to.

If your account is terminated, any rights you had under these terms end, but anything meant to survive termination (such as limits on liability) will survive.

Service provided as is

Team Clarity is provided on an “as is” and “as available” basis. We do not promise that the service will be uninterrupted, error free, or secure, and we do not make any warranties beyond those required by law. To the fullest extent allowed by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and noninfringement.

Limit of liability

To the fullest extent allowed by law, TClarity LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, even if we knew such damages were possible. Our total liability to you for any claim relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim or one hundred US dollars.

Indemnification

You agree to defend and hold TClarity LLC harmless from any claims, losses, or expenses (including reasonable attorney fees) that come from your use of the service, your content, or your breach of these terms.

Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. You agree that any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

Changes to these terms

We may update these terms from time to time. If we make meaningful changes, we will let you know by email or by posting a notice in the app. If you keep using the service after the changes take effect, that means you accept the new terms.

Other legal bits

If any part of these terms is found to be unenforceable, the rest will still apply. Our failure to enforce a right or provision is not a waiver of that right. You may not assign these terms without our written consent, but we may assign them to an affiliate or to a successor as part of a merger, acquisition, or sale. These terms are the entire agreement between you and TClarity LLC about the service.
